PROSPEC GLOVES LLC — EMBROIDERY & CUSTOM DESIGN POLICY

This Embroidery & Custom Design Policy ("Policy") governs all custom embroidery, logo uploads, design requests, and personalization services provided by ProSpec Gloves LLC ("ProSpec," "we," "us," or "our"). It is part of, and incorporated into, our Terms of Service. By submitting any custom design, logo, text, or image for embroidery or customization, you ("Customer," "you") agree to be bound by this Policy.
1. ACCEPTANCE AND BINDING AGREEMENT
1.1 This Policy applies to ALL custom design orders, including designs submitted through our online 3D customizer, logo files uploaded to our website, custom design requests submitted via email, phone, or other communication, and mock-ups created by ProSpec staff at your request.
1.2 You accept this Policy by: submitting artwork or a design through the customizer or our website; submitting a custom design request via email, phone, or other communication; approving a mock-up or design proof created by ProSpec; or placing an order for any custom embroidered or personalized product.
1.3 If you do not agree to this Policy, do not submit custom designs or place custom orders.
2. PROSPEC'S RIGHT TO REFUSE SERVICE
2.1 Refusal right. ProSpec reserves the right to refuse, reject, or deny any custom design, embroidery request, logo, text, image, or personalization, at any time before production is complete, where the design violates this Policy, poses intellectual-property or legal risk, is technically unsuitable for production, or could reasonably harm ProSpec's reputation or business relationships.
2.2 Prohibited content. ProSpec will reject designs containing or depicting:
- Hate symbols, slurs, or discriminatory content targeting any protected class
- Sexually explicit content
- Unmasked profanity or obscene content (masked variants — for example, symbol-substituted text — may be permitted at ProSpec's sole discretion)
- Threats, incitement, or endorsement of violence; terrorist or extremist organizations
- Illegal activity or content that violates local, state, or federal law
- Defamatory or libelous statements
- Content that, in ProSpec's judgment, could harm its reputation, brand, or business relationships
2.3 Trademark and copyright. You agree NOT to submit designs containing: unauthorized third-party trademarks, logos, or brand names (including professional sports teams, colleges and universities, corporate brands, and entertainment properties); copyrighted images, characters, or artwork without licensing; or celebrity names, likenesses, or signatures without authorization. Exception: if you hold written authorization from the rights holder, provide it to ProSpec before order approval.
2.4 Quality and technical standards. ProSpec may reject designs of insufficient resolution or quality for embroidery, designs incompatible with production capabilities, or designs that would produce a poor-quality result.
3. INTELLECTUAL PROPERTY WARRANTIES
3.1 By submitting any design you represent and warrant that: (a) you created and own the design OR hold all rights and written permissions needed to use it and authorize its reproduction; (b) the design does not infringe any third party's trademark, copyright, right of publicity, privacy, or other rights; (c) you have all licenses and clearances required for its use on a manufactured product; and (d) the design complies with applicable law.
3.2 Any breach of these warranties is a material breach of this Policy and may result in immediate order cancellation and liability for damages ProSpec incurs.
4. INDEMNIFICATION
4.1 You agree to defend, indemnify, and hold harmless ProSpec Gloves LLC and its officers, directors, employees, agents, affiliates, contractors, and manufacturing partners from any claims, demands, suits, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to: your submitted designs; any breach of Section 3; any actual or alleged infringement of third-party rights; or your violation of law.
4.2 If a third party asserts a claim against ProSpec related to your design, you will assume the defense and resolution of the claim, reimburse ProSpec's legal fees and costs, cooperate fully, and accept liability for damages awarded against ProSpec.
4.3 These obligations survive order completion, delivery, payment, and termination of the customer relationship.
5. DESIGN REVIEW AND APPROVAL
5.1 All custom designs are subject to ProSpec's review before production. Approval is not guaranteed.
5.2 We make commercially reasonable efforts to review designs within 2 to 5 business days of order placement. Production timelines begin after design approval.
5.3 You are solely responsible for the accuracy, spelling, and formatting of submitted content. ProSpec is not liable for errors in customer-provided content.
5.4 Where ProSpec provides a proof or mock-up, your approval of the proof does not waive ProSpec's right to decline the design under Section 2 if an issue is discovered during production preparation.
6. IF A DESIGN IS DECLINED
6.1 Your options. If ProSpec declines your design after order placement, we will notify you by email, and you may either:
- Option A — Submit an alternative design that complies with this Policy within 10 business days of the notice. On approval, production proceeds with your original order terms; or
- Option B — Receive store credit for the full order amount, valid for 12 months.
6.2 Orders declined under Sections 2.2 or 2.3 (prohibited or infringing content) are not eligible for cash refunds; the options above apply.
6.3 No response. If you do not respond within 10 business days of the denial notice (after a reminder), store credit issues automatically under Option B and the order is closed.
7. LICENSE; HOW DESIGNS ARE STORED AND USED
7.1 By submitting a design, you grant ProSpec a limited, non-exclusive, royalty-free license to reproduce the design via embroidery or decoration on ordered products; to display it in production systems, proofs, and mock-ups; to store it with your design and order records (see our Privacy Policy for storage and share-link behavior); and to photograph finished products for quality control.
7.2 Marketing use. ProSpec may photograph finished custom products for use in social media, website, and marketing materials. If you object to marketing use of your design, notify us in writing at order placement and we will honor your request.
8. LIMITATION OF LIABILITY
8.1 To the fullest extent permitted by law, ProSpec's total aggregate liability arising from any custom design order, under any theory, will not exceed the amount you paid for that order.
8.2 ProSpec is not liable for indirect, incidental, special, consequential, or punitive damages; lost profits; reputational harm; costs of substitute products; or damages arising from design denial, review delays, or order cancellation under this Policy.
8.3 ProSpec disclaims all liability for your infringement of third-party rights; you bear sole responsibility for design compliance under Section 3.
9. DISPUTE RESOLUTION
Disputes under this Policy are resolved as set out in the Dispute Resolution section of our Terms of Service — binding individual arbitration before the American Arbitration Association under its Consumer Arbitration Rules, governed by Virginia law, with an informal-resolution first step, a class-action waiver, a small-claims carve-out, ProSpec's right to seek injunctive relief in court to protect intellectual property, and a 30-day opt-out right.
10. GENERAL PROVISIONS
10.1 This Policy, together with ProSpec's Terms of Service and any order-specific agreements, is the entire agreement regarding custom designs.
10.2 If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed; all other provisions remain in force.
10.3 ProSpec's failure to enforce any provision is not a waiver.
10.4 ProSpec may modify this Policy prospectively; the version in effect when you place an order governs that order. Material changes will be posted with an updated date.
10.5 You may not assign rights or obligations under this Policy; ProSpec may assign to a successor or affiliate.
11. COPYRIGHT COMPLAINTS
Rights holders who believe a design infringes their copyright may submit a DMCA notice as described in the Copyright Complaints section of our Terms of Service.
